Agreement and Acceptance

Welcome to PolicyScanner Brokerage Incorporated ("PolicyScanner," "we," "us," or "our"). We own and operate the website www.policyscanner.ca (the "Site"), which provides digital life insurance brokerage, insurance quote comparison, and related advisory services (the "Services").

These Terms of Service ("Terms") govern your access to and use of our Site and Services. These Terms are legally binding between you (the person accessing or using this Site, your authorized representatives, and any entity you may represent) and PolicyScanner Brokerage Incorporated.

By accessing or using our Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms or our Privacy Policy, please do not access or use our Services.

About Our Service

Who We Are

PolicyScanner Brokerage Incorporated is a licensed life insurance brokerage in Ontario, Canada. We are regulated by the Financial Services Regulatory Authority of Ontario (FSRA) under license #41964M. All of our advisors are LLQP (Life License Qualification Program) certified.

What We Do

We provide digital life insurance brokerage services, including:

• Quote comparison from multiple life insurance companies
• Application facilitation by submitting your applications to insurers
• Advisory services through our LLQP-certified advisors
• Educational content about life insurance products and processes
• Platform access to track your applications and quotes

Geographic Limitations

Our services are available only to residents of Ontario, Canada. We are not licensed to provide services to residents of other provinces or countries.

Our Role as Insurance Brokerage

What We Are

PolicyScanner is an insurance brokerage and intermediary service. We act as a bridge between you and life insurance companies to help you find and apply for appropriate coverage.

What We Are NOT

• We are NOT an insurance company - we do not issue, underwrite, or provide insurance policies
• We do NOT make underwriting decisions - all coverage decisions are made solely by insurance companies
• We do NOT control pricing - premium rates are set by insurance companies based on their underwriting
• We do NOT guarantee coverage - approval is subject to each insurer's underwriting guidelines
• We are NOT financial advisors - we provide information and facilitate applications, not comprehensive financial planning

Independence and Compensation

We are compensated through commissions paid by insurance companies when you purchase a policy through our platform. You do not pay any additional fees - our compensation is included in the insurance company's premium structure.

While we strive to provide objective recommendations, you should be aware that different insurance companies may offer different commission structures. We maintain relationships with multiple insurers to provide you with diverse options.

Our Limitations

PolicyScanner has no control over, and cannot influence:

• Insurance company underwriting decisions
• Application approval or denial
• Premium pricing and rate classifications
• Policy terms, conditions, or exclusions
• Claims processing or payments
• Medical exam requirements
• Additional information requests during underwriting

Quotes and Applications

Quote Validity

All quotes displayed on our platform are:

• Preliminary estimates only based on the information you provide
• Subject to underwriting by insurance companies
• Subject to change based on additional information collected during underwriting
• Not binding offers or guarantees of coverage
• Valid for limited periods and may expire

Application Process

When you submit an application through our platform:

1. We collect your information and preferences
2. We submit complete applications to selected insurance companies
3. Insurance companies conduct their own underwriting process
4. Insurance companies make approval/denial decisions independently
5. If approved, you contract directly with the insurance company

Important: We do not send any information to insurance companies until you authorize us to submit a complete application on your behalf.

Final Pricing

Your premium is not final until you sign and pay for an actual insurance policy with the insurance company. Factors that may affect your final premium include medical exam results, verification of information, and changes in underwriting guidelines.

Your Responsibilities

Age and Capacity

You must be at least 18 years old and have the legal capacity to enter into these Terms. If you are using our Services on behalf of an entity, you represent that you have the authority to bind that entity.

Accurate Information

You are responsible for providing complete and accurate information about:

• Personal identification and contact details
• Health history and current medical conditions
• Lifestyle factors (smoking, alcohol use, etc.)
• Financial information
• Insurance history and existing coverage
• Any other material circumstances that may affect insurance risk

Failure to provide accurate information may result in claim denial or policy cancellation by the insurance company.

Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• Notifying us immediately of any unauthorized access
• All activities that occur under your account

Financial Decisions

You acknowledge that you are responsible for your own financial and insurance decisions. While our LLQP-certified advisors can provide guidance, you should consider consulting with independent financial advisors for comprehensive planning.

Service Limitations

Information Accuracy

While we strive for accuracy, we make no warranties regarding:

• Accuracy or completeness of information on our Site
• Currency of insurance product information
• Availability of specific products for your situation
• Third-party content or external websites

Website Availability

We do not guarantee that our Site will be:

• Available without interruption or downtime
• Free from technical errors or bugs
• Compatible with all devices or browsers
• Secure from all cyber threats

Product Availability

Not all insurance products may be available to all customers. Availability depends on factors including your location, age, health, insurance company guidelines, and coverage amount requested.

Professional Advice Limitation

Our Services do not constitute legal, tax, or comprehensive financial advice. For matters beyond life insurance brokerage, consult qualified professionals in the relevant fields.

Prohibited Activities

You agree not to:

• Provide false information in applications or communications
• Use our Services for illegal purposes or in violation of applicable laws
• Attempt to circumvent our security measures or access unauthorized areas
• Interfere with the operation of our Site or other users' access
• Upload malicious content such as viruses, malware, or harmful code
• Scrape or harvest content from our Site using automated means
• Impersonate others or misrepresent your identity or affiliations
• Use our Services to engage in fraudulent activities

Intellectual Property

Insurance Companies

All insurance policies are contracts between you and the insurance company, not PolicyScanner. Once a policy is issued:

• The insurance company is responsible for policy administration
• The insurance company handles all claims
• The insurance company's terms and conditions govern your coverage
• The insurance company's privacy policy governs their use of your information

Third-Party Websites

Our Site may contain links to third-party websites. We do not control, endorse, or assume responsibility for third-party content or services. Your interactions with third parties are solely between you and them.

Technology Partners

We use various technology partners to provide our Services. While we choose reputable partners, we cannot guarantee the performance or security of all third-party systems.

Limitation of Liability

Disclaimer of Warranties

Our Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy.

Limitation of Damages

To the maximum extent permitted by law, PolicyScanner's total liability for any claims arising from or related to these Terms or our Services shall not exceed the lesser of:

• The amount of commissions we received for the specific transaction in question, or
• One hundred dollars (CAD $100)

Excluded Damages

In no event shall PolicyScanner be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Business interruption or lost savings
• Punitive or exemplary damages
• Any damages arising from insurance company actions or decisions

Insurance Company Actions

PolicyScanner is not responsible for any actions, decisions, or omissions by insurance companies, including but not limited to application denials, claim disputes, policy cancellations, premium increases, or coverage limitations.

Indemnification

You agree to defend, indemnify, and hold harmless PolicyScanner and its officers, directors, employees, agents, and affiliates from any claims, demands, damages, costs, or expenses (including reasonable attorney fees) arising from:

• Your use of our Services
• Your breach of these Terms
• Your violation of applicable laws or regulations
• Your provision of false or misleading information
• Your violation of third-party rights

Termination

Termination by You

You may stop using our Services at any time. If you have an account, you may close it by contacting us.

Termination by Us

We may terminate or suspend your access to our Services immediately, without prior notice, for any reason including:

• Breach of these Terms
• Violation of applicable laws
• Fraudulent or deceptive behavior
• Extended inactivity
• Any reason or no reason at our sole discretion

Effect of Termination

Upon termination:

• Your right to access our Services immediately ceases
• Provisions regarding liability, indemnification, and governing law survive
• We may retain certain information as required by law or for legitimate business purposes

You and PolicyScanner irrevocably consent to the exclusive jurisdiction of the courts of Ontario, Canada, for the resolution of any disputes arising from these Terms or our Services.

If you have a complaint about our Services:

2. If not resolved, you may contact FSRA
3. For policy-related issues, contact the OmbudService for Life and Health Insurance (OLHI)

Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PolicyScanner regarding our Services.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Assignment

We may assign our rights and obligations under these Terms to any third party without your consent. You may not assign your rights or obligations without our written consent.

Force Majeure

We shall not be liable for any delays or failure in performance due to causes beyond our reasonable control, including acts of God, government actions, natural disasters, or technical failures.
